# （三）Sustainalytics ESG 風險評級

Sustainalytics的ESG風險評級，主要評估未被管理的ESG風險，顯見「治理」在此之中的重要性。

其評級由三大面向構成：重大ESG議題（Material ESG Issues, MEIs）、公司治理，以及特殊性議題。最終評分方式是「曝險度」減去「已管理風險」，得出「未管理風險」，分數越低代表風險管理能力越好。評鑑中的「商業倫理（Business Ethics）」是許多產業的關鍵評估項目。而「特殊性議題」更是衡量公司治理能力的重要標準，檢視企業對於重大貪腐醜聞等特殊突發事件的處理能力，可能大幅衝擊企業評分。<sup>10</sup>

Sustainalytics同時設有爭議事件研究機制，每日追蹤全球超過70萬則新聞，並將案例分為三級：單一的「事件（Incidents）」、多次發生的「事態（Events）」，以及最高層級的「爭議（Controversies）」。

評級的方法論明確指出，「賄賂與貪污」是可能觸發「事件」的關鍵因素，若屢次發生，將演變成「爭議」，而直接增加「未管理風險」，導致評級在一年當中隨時可能被調降，甚至引發聲譽受損、投資人撤資或客戶流失。<sup>11</sup>

下表整理了部分曾獲國內永續獎的台灣高碳排企業在Sustainalytics的評級。多家企業的「商業倫理」或「公司治理」面向被列為重大 ESG 議題，且部分企業存在「中等」程度的爭議事件，顯示其在風險管理上仍有改善空間。
